About the role
Lloyds is seeking a mid-level US-qualified lawyer to join our New York team, supporting Debt Capital Markets and Securitization platforms. You’ll lead on bond offerings, liability management, and select securitization transactions, working closely with global colleagues in a dynamic, hybrid environment. The opportunity
This role is critical to Lloyds' platforms, providing expert legal, transaction, and regulatory guidance for a wide range of capital market activities including bond offerings, liability management, and securitization deals. This role acts as a trusted advisor within the North America and broader Lloyds Legal teams. It ensures all transactions meet policy and regulatory standards, helps collaboration with global colleagues, and supports business growth and compliance. Their expertise will drive operational excellence, foster strategic alignment across US and UK business units, and improve Lloyds' ability to deliver robust and compliant financial solutions for institutional and corporate clients.

Lead Rule 144A/Reg S processes and connect with outside counsel, building your network and influence. Thrive as the go-to guide in regulatory matters.
Draft and negotiate vital agreements, putting your legal skills at the heart of major deals and Lloyds’ market leadership.
Run liability management exercises—cash tenders, exchanges, consents—where your expertise drives success in critical transactions.
Spot issues and enable new products in securitizations—ABS, RMBS, CMBS, CLOs—and drive innovation in 144A/Reg S and Reg AB II.
Work with Compliance and Legal teams to supervise regulatory changes and contribute to training and policy updates, keeping Lloyds ahead of the curve.
What you’ll bring
J.D. and active New York Bar admission with strong academic credentials
5–7 years’ experience post-qualification as a New York Bar attorney
Outstanding communication skills, written and verbal
Validated expertise in investment-grade or high-yield bond offerings, private placements, and at least one of: liability management or securitization
In-depth knowledge of Rule 144A/Reg S, disclosure drafting, and skilled in negotiations with issuers, underwriters, and trustees
Hands‑on capital markets experience at a top law firm or in‑house legal team (DCM/Securitization)
Sharp analytical skills and attention to detail
Unwavering integrity and a dedication to high ethical standards
Self‑motivated and energized to thrive in a fast‑paced environment
Strong organizational skills to manage competing priorities
A creative problem‑solver who can simplify complexity for clients

Preferred Qualifications
I n‑house experience with a DCM desk or issuer, especially with CP & MTN program documentation
Familiarity with ABS/CLO or mortgage securitizations; knowledge of warehouse/repurchase facilities a plus
What Success Looks Like in Your First Year
Independently draft and negotiate OM/prospectuses, underwriting and purchase agreements, and lead transactions from start to finish
Take charge of liability management deals, steering them from launch through settlement
Handle all legal aspects of securitization deals or A/B exchanges for 144A issues through closing
