The Role As Senior Director, Legal you will serve as the company’s commercial legal leader. You’ll protect and enable the business across commercial contracts, litigation, risk, employment, corporate governance, and regulatory compliance. Reporting directly to the CEO, you will advise executives and partner with commercial, operations, finance, and people teams to build scalable legal infrastructure for a fast‑moving, tech‑enabled hospitality platform operating across 85+ properties in the U.S. and internationally.

Business‑First Legal Thinker : Approaches legal work as a strategic partner, identifying risk and enabling decisions.

Commercial Contracts Expert : Drafts, negotiates, and manages a broad range of agreements with appropriate risk allocation and efficient contracting at scale.

Litigation Strategist : Manages disputes and litigation, balancing exposure, cost, and business impact.

Risk and Insurance Owner : Designs and manages the insurance portfolio and risk transfer strategy.

Employment Counsel : Advises on workforce risk across 25+ states, maintaining defensible employment practices.

Corporate and Transactional Leader : Manages entity governance, financing transactions, and strategic asset deals.

IP and Privacy Steward : Oversees the trademark portfolio and ensures compliance with privacy and data protection laws.

Team Builder : Leads the regulatory team and manages outside counsel relationships with a focus on cost‑effective outcomes.

Culture Cultivator : Fosters a world‑class team that engages, grows, and exceeds expectations.

Key Responsibilities Commercial Contract Negotiation

Draft, review, and negotiate commercial agreements, including software, hardware, vendor, group sales, corporate rate, and event space agreements.

Develop and maintain contract templates and self‑service workflows within Ironclad.

Improve the contract procurement and approval framework, ensuring stakeholder approvals and centralized tracking.

Litigation and Dispute Management

Manage litigation and pre‑litigation disputes, setting strategy and evaluating exposure.

Select and supervise outside counsel for cost‑effective outcomes.

Advises executive leadership on claims exposure and settlement decisions.

Insurance and Risk Transfer

Manage the insurance portfolio, including design, broker selection, policy procurement, renewal, coverage analysis, and claims management.

Lead underwriting strategy and renewal processes.

Ensure vendor agreements include robust indemnification and insurance requirements.

Serve as internal owner for insurance claims, coordinating with brokers, carriers, and stakeholders.

Develop risk management policies and training programs.

Employment

Advise the People Department on workforce risk and regulatory risk.

Partner with outside counsel to draft and maintain key employment documents.

Design, implement, and update company policies and trainings across 25+ states.

Corporate Governance, Financing, and Transactions

Manage corporate governance and entity compliance for domestic and international subsidiaries.

Lead internal legal workstreams and partner with outside counsel on equity and debt financings and strategic asset deals.

Product, Intellectual Property, and Privacy

Maintain and expand the trademark portfolio.

Advise and train units on privacy and data protection matters.

Maintain the company’s internal and external policy documents.

Leadership and Management

Serve on the leadership team, advising on legal, regulatory, and risk considerations.

Select and oversee outside counsel for specialized legal needs.

Manage the regulatory team for license and permit procurement across all managed locations.

Qualifications

8+ years of relevant experience, with at least three years as in‑house counsel for an operating company, preferably in hospitality.

J.D. from a top‑tier accredited U.S. law school.

Bar admission and active membership in a U.S. state.

Comfortable with Google Suite, Slack, Ironclad or similar contract management software, and leading AI tools.
