Corporate Paralegal

Legalpeople is working with our corporate client in the North Dallas area in search of a great Corporate/Contracts Paralegal. The paralegal in this role will be responsible for drafting, reviewing, and managing contracts, maintaining legal templates and records, supporting corporate governance activities, coordinating with external counsel, conducting legal research, and managing regulatory filings and related compliance requirements. The role works under the direction of the General Counsel and supports multiple business functions. RESPONSIBILITIES:

Contracts (50%)

Draft, review, redline, and finalize standard agreements (NDAs, services agreements, etc.). Manage contracts end-to-end using approved templates, i.e. from request intake through execution and storage. Maintain and update standard contract templates and clause libraries. Track contract status, versions, and execution records in shared systems. Corporate Governance (15%)

Maintain corporate records, including minutes, resolutions, and entity documents. Support routine governance activities such as entity maintenance, SoS filings, and document upkeep. Track compliance requirements and assist with internal reporting and documentation. Regulatory Filings & Compliance (15%)

Manage regulatory and statutory filings and ensure timely completion of related compliance requirements. Track filing deadlines, maintain supporting documentation, and coordinate with internal and external stakeholders as needed. Legal Research & Internal Support (15%)

Maintain organized legal records and documentation systems. Conduct legal research. Prepare short summaries or memos for internal use. Provide basic legal support to teams such as HR, Finance, Tax, and Operations. Assist Senior Counsel with disputes, due diligence, and other legal tasks as assigned. External Counsel & IP Coordination (5%)

Coordinate with external counsel for patent and trademark matters, including new filings and maintenance of existing IP. Track deadlines, documentation, and correspondence related to IP matters. Route internal requests to outside counsel and follow through to completion. REQUIRED QUALIFICATIONS:

Bachelor’s degree and/or paralegal certification 3-7 years of relevant experience (law firm or in-house) Hands‑on experience drafting and reviewing commercial contracts Basic familiarity with patent/trademark processes Strong organizational and execution skills with attention to detail Ability to manage multiple tasks and follow through independently Clear written and verbal communication skills PREFERRED QUALIFICATIONS:

Experience supporting cross-border operations (U.S. and India preferred) Familiarity with technology, telecom, or infrastructure businesses Exposure to corporate governance documentation and filings
