Assist with state corporate and federal securities filings, including filings with Verano’s stock exchange, the Canadian Securities Administration (CSA), and the U.S. Securities and Exchange Commission (SEC), such as Form 10‑K, Form 10‑Q, Form 8‑K, DEF14A, Form 3 and Form 4.
Maintain the Company’s EDGAR profile and assist with the maintenance of the Company’s officers’ and directors’ EDGAR profiles and SEC filings.
Assist in drafting corporate documents, including ancillary transaction agreements, governance documents, and board resolutions.
Effectively manage Verano’s structure charts and corporate entities.
Effectively update and maintain Verano’s corporate records, including policies and minute books.
Provide support for M&A transactions, debt and equity financings, contract review and other legal projects as needed.
Minimum Qualifications
Experience at a law firm and/or in‑house at a public company as a corporate paralegal.
Strong verbal and written communication, research, organizational and problem‑solving skills.
Highly motivated to learn and explore the legal intricacies of the cannabis industry.
Capable of leading multiple projects independently with expert project management skills.
Ability to demonstrate a high level of confidentiality.
Preferred Qualifications
1+ year working for a publicly traded company.
Experience using EDGAR for filing SEC documents.
Experience drafting corporate documents and maintaining structure charts.
What We Offer $60,000 - $70,000. Actual pay is based on experience, qualifications, and location of the role. Roles may be eligible for an annual bonus program based on individual and company performance.
