
AGC, Fund Formation Counsel - Global Asset Manager (New York)

We are currently partnered with a Global Asset Manager that is expanding their legal team due to increased volume over the past year. This role reports directly to the General Counsel and sits within a lean, collaborative legal team supporting the firm's diversified investment strategies and products. The position focuses on the structuring, formation, and ongoing legal and operational support of the firm's investment vehicles and advisory accounts. Responsibilities: Provide legal expertise to senior management and external counsel on all fund structuring matters.
Provide legal support for the structuring, formation, and ongoing legal and operational needs of various investment vehicles.
Provide legal support and advice in connection with side-letter negotiations and other investor-related matters.
Actively partner with the marketing team and external counsel to efficiently structure and document the firm's private investment vehicles and advisory accounts.
Requirements: JD from a top tier Law school
4+ years of experience within private practice or in-house environment at an established asset manager.
Experience with private funds, including open-end funds and closed-end funds
Experience leading fund launches
Experience drafting and negotiating operative documents for product launches, including private placement memoranda, partnership agreements, investment management agreements, side letters, and placement agreements.
