Our client, a prestigious global AmLaw 50 law firm, is seeking a highly qualified Capital Markets Associate Attorney to join its sophisticated Corporate Finance & Capital Markets practice. This role offers the opportunity to work on innovative, high-profile domestic and cross-border transactions for clients across asset management, private credit, private equity, and life sciences industries. The practice is widely recognized for executing complex financings and structuring cutting-edge capital markets transactions in global markets.

Candidate Profile

JD from a top-tier law school with a strong academic record.

Active Bar Admission in the relevant jurisdiction, in good standing.

3-8 years of substantive experience in capital markets.

Experience representing issuers, underwriters, and placement agents in public offerings, private placements, and other securities offerings.

Strong background advising on securities law compliance and reporting obligations under the Securities Act of 1933 and the Securities Exchange Act of 1934.

Experience representing business development companies (BDCs) and other 1940 Act funds; experience with 1933 Act ETFs is a plus.

Demonstrated experience serving as a key member of deal teams, including managing significant aspects of transactions from due diligence through closing.

Large law firm experience strongly preferred.

Key Responsibilities

Represent issuers, underwriters, placement agents, and sponsors in a broad range of capital markets and securities transactions.

Draft, review, and negotiate offering documents, disclosure materials, and transaction agreements.

Advise clients on federal securities law compliance, ongoing reporting obligations, and regulatory considerations.

Play a central role in executing IPOs, debt offerings, private placements, and other complex financings.

Collaborate with attorneys across multiple practice areas to support seamless domestic and cross-border transactions.

Competitive Salary:

$260,000+, commensurate with class year and experience
