
Remote Equity Counsel

This position is posted by Jobgether on behalf of a partner company. We are currently looking for a Senior Counsel - Remote. In this critical role, you will support the equity compensation strategy and securities law compliance framework. Your expertise will help ensure that equity programs are aligned with regulatory standards while also being operationally effective. You will collaborate with various departments to provide strategic legal advice, manage compliance, and help shape the future of equity compensation. This role is designed for an experienced attorney who can navigate complex legal frameworks and has a passion for making impactful decisions.
Accountabilities
Serve as the Legal department lead for equity compensation and equity management matters
Oversee day-to-day legal compliance for equity compensation programs
Advise on the design and administration of equity compensation programs
Partner with Finance, HR, Payroll, and Equity Administration teams
Interpret and advise on limited liability company agreement provisions
Track and advise on accredited investor status and compliance requirements
Advise on securities law compliance for equity transactions
Prepare and review securities filings and documentation
Provide equity-related legal support for mergers and acquisitions
Draft, review, and maintain equity-related legal documents
Requirements
Juris Doctor (JD) degree from an accredited law school
Active bar membership in at least one U.S. state
4-8 years of legal experience in equity compensation, corporate law, and securities law
Knowledge of the Securities Act of 1933 and Securities Exchange Act of 1934
Experience drafting equity plan documents and private offering documentation
Strong communication, negotiation, and interpersonal skills
Detail-oriented with analytical and problem-solving abilities
Ability to manage multiple projects in a fast-paced environment
Prior experience in law firm or in-house legal department preferred
Strong understanding of equity compensation structures
