Please review the following job description: SOX Program Management (SPM) coordinates Truist's efforts to ensure that all significant financial reporting controls are identified and testing is performed to evaluate the operating effectiveness of the controls in connection with Sections 404 and 302 of the Sarbanes-Oxley Act of 2002 (SOX) and the Federal Deposit Insurance Corporation Improvement Act of 1991 (FDICIA).

Responsibilities

  • Responsible for executing a governance and oversight program that guides, monitors, evaluates, and reports on the effectiveness of internal control over financial reporting.
  • Determines in-scope processes, applications, models and infrastructure for annual SOX testing.
  • Provide guidance on SOX requirements for control/process documentation, testing and issue management and other aspects of the SOX framework to support Truist's SOX and FDICIA compliance efforts.
  • Lead and contribute to the team through leadership, long-term planning, and performance improvement.
  • Develop plans that impact direction and resource allocation of the group, including business, project, and organizational priorities.
  • Proactively identify and resolve technical, operational, risk management, business, and organizational challenges; establish long-term solutions for continuous improvement.
  • Serve as a Subject Matter Expert (SME) for the financial reporting risk domain and compliance for SOX and FDICIA.
  • Represent SOX Program Management (SPM) on SOX Core Team and SOX Oversight Committee.
  • Interface with business and other risk partners on projects and serve as an SOX Risk SME during planning and execution of business initiatives.
  • Lead the adaptation of complex high-risk work programs and practice aids; establish methodology and direction for policies and procedures.
  • Coordinate with auditors (internal and external) and BURM teams to document SOX issues.
  • Track the status of corrective actions to ensure timely updates to the SOX Oversight Committee and Corporate Audit Committee of the Board.
  • Identify key risks and controls, recommend improved controls, perform controls readiness projects, and identify and assess configuration of controls in SOX-significant financial reporting processes.
  • Set direction and establish methodology for quarterly governance processes.
  • Provide oversight as risk and audit teams perform assessments, walkthroughs and testing to evaluate controls, security, SOD, and audit procedures.
  • Consult and collaborate with the business on current and emerging SOX-significant processes.

Qualifications

  • Bachelor's degree in Finance or Accounting or equivalent education and related training.
  • Twelve years of relevant experience in internal audit, public accounting, or SOX/Risk compliance.
  • Ability to interpret and explain complex information to a range of audiences and build consensus among stakeholders.
  • Ability to influence others at senior levels to adopt a new perspective.
  • Ability to build consensus through communication and presentation of factual and relevant information.
  • Advanced verbal and written communication skills including executive presentation skills.
  • Advanced analytical skills and the ability to exercise judgment and solve complex problems.
  • Ability to work well with others in a dynamic, team-oriented environment.
  • Strong understanding of PCAOB and SEC requirements for SOX compliance.
  • Relevant Professional Certification (e.g., CPA, CISA).
  • Demonstrated leadership skills and ability to work well with others in a dynamic, team-oriented environment.

Preferred Qualifications

  • Supervisory experience.
  • Financial services or specialized industry experience.
  • Master's degree in related discipline.
  • Working knowledge of US GAAP, SOX and FDICIA reporting requirements.
