
Senior Paralegal

Overview:
Strategic Communications is seeking a Senior Paralegal to join our growing and dynamic team. Candidate must have strong analytical and writing skills and should have at least 5 years’ experience with drafting and negotiating contracts. Knowledge of bid protests, acquisition regulation (including FAR and DFARS) compliance, federal and state subcontracting, related dispute and flow-down/compliance issues; multiple award contracts, and small business procurement strongly preferred.
Key Responsibilities: Government Contracts
Assist in drafting, reviewing, and negotiating government contracts, subcontracts, and amendments
Support compliance with applicable regulations, including FAR, DFARS, and agency-specific requirements
Monitor contract obligations, flow-down clauses, reporting requirements, and performance milestones
Assist with proposal reviews, bid submissions, responses to government inquiries, and audit support
Conduct legal research on government contracting issues and prepare summaries and recommendations
General Corporate Legal Support
Perform general legal document review across the company, including policies, statements of work, licensing terms, and internal agreements
Assist with maintaining and improving contract templates and clause libraries
Support internal legal processes, contract management systems, and document retention practices
Coordinate with internal stakeholders (sales, finance, operations, HR, and compliance) to address legal needs
Liaise with and Escalate matters to outside counsel as needed
Commercial Contracts & Partnerships Draft, review, and negotiate commercial agreements, including partnership agreements, vendor agreements, and customer contracts.
Draft, review, and manage non-disclosure agreements (NDAs), teaming agreements, and memoranda of understanding (MOUs)
Support negotiations with commercial partners to align legal terms with business objectives
Legal Research
Conduct research on relevant laws and regulations to support business activities.
Analyze complex legal issues and present options for resolution.
Minimum Qualifications
5+ years of relevant experience in reviewing, negotiating, and complying with government contracts
Working knowledge of FAR, DFARS, and basic government procurement principles
Strong research, writing, and analytical skills
Ability to manage multiple priorities in a fast-paced business environment
Preferred Qualifications
Associate’s Degree or certificate in Business Law & Paralegal Studies
Experience with DoD contracting
Exposure to compliance programs, audits, or investigations
Strong attention to detail and sound judgment
Clear written and verbal communication skills
Business-minded approach to legal risk
Collaborative and service-oriented mindset
High level of professionalism and discretion
Physical Requirements: Work is generally sedentary in nature, but may require standing and walking for up to 20% of the time. The work environment is generally favorable. Lighting and temperature are reasonable. Work is generally performed within an office environment, with standard office equipment available. Require use of multiple computer monitors and software programs simultaneously, desk phone, mouse and keyboard.
