PaleBlueDot AI is seeking a highly experienced and commercially-focused Legal and Compliance Manager to lead legal structuring and risk mitigation for our global Cloud Service and Procurement operations. This role is ideal for a candidate with mandatory prior experience at a major cloud service provider, specialized in drafting and negotiating complex commercial agreements.
Key Responsibilities
- Lead the design, risk assessment, and legal execution of commercial frameworks for complex cross‑border Cloud Service and Procurement projects.
- Serve as the primary legal partner for business teams, negotiating and finalizing critical commercial agreements (including MSAs, SLAs, and SOWs) to enable global operations while protecting the Group’s interests.
- Draft, review, and negotiate legal documents to ensure full compliance with U.S. Export Administration Regulations (EAR) and other relevant regulatory requirements.
- Manage end‑to‑end legal processes for high‑value cross‑border transactions.
Commercial Transaction & Contract Management
- Manage the full lifecycle of commercial contracts, ensuring consistency, efficiency, and robustness across all documents.
- Draft and aggressively review
egotiates complex cloud service contracts, procurement agreements, and partner agreements, prioritizing business enablement and strategic objectives.
Compliance System Development & Maintenance
- Establish and maintain the Group’s compliance scheme with regular updates to U.S., Japan, Singapore, and other onshore regimes.
- Monitor global sanctions updates (e.g., U.S. BIS) and design robust contingency plans.
Risk Mitigation & Crisis Response
- Manage legal responses to commercial emergencies (e.g., contract defaults, major vendor disputes) and coordinate external counsel resources effectively.
Qualifications
Education
- LL.B., LL.M, JD or higher in Law from a prestigious university.
Experience priorities
- Direct commercial legal experience supporting a global Cloud Service Provider (CSP) or large‑scale SaaS company, with a focus on enterprise contract negotiation and procurement.
- Led complex cross‑border commercial contract negotiations or transactional legal projects.
- Deep understanding of commercial contracting norms and regulatory differences between different jurisdictions (U.S., APAC, etc.).

- Native‑level English drafting and communication skills.
- Proficiency in legal tech tools for contract management and workflow efficiency.
