Senior Counsel – Commercial
This role supports the General Counsel in handling legal matters focused on procurement, trade, antitrust, privacy/cyber security, intellectual property, construction, corporate governance, ESG initiatives, and coordination with other Legal Department Meta Pros.
Key Responsibilities
- Negotiate, review, draft, and advise HMGMA on various contracts, including purchase agreements, equipment acquisition, construction contracts, automotive parts supply contracts, and general business support contracts.
- Oversee HMGMA’s contract management system and enforce related policies and procedures.
- Provide strategic legal advice and counsel on day‑to‑day issues to ensure compliance with Georgia law, federal law, and international regulations in the areas of trade, antitrust, privacy/cyber security, construction, corporate governance, and ESG initiatives.
- Support HMGMA’s Procurement Division on supply chain management and related initiatives.
- Assist in drafting transactional policies and procedures.
- Conduct investigations, audits, and training in transactional responsibility to mitigate legal risk and promote best business practices.
- Research legal issues related to transactional responsibilities.
- Track and report developments in the law concerning transactional responsibilities.
- Assist the General Counsel in tracking and reporting governmental affairs, including legislative, city council, and county commission matters, and legal and compliance updates.
- Draft memoranda to the General Counsel, executives, and Meta Pros on various legal topics related to transactional responsibilities.
- Collaborate with Senior Counsel – General Litigation and Regulatory Compliance on investigatory, compliance, auditing, litigation, arbitration, and mediation matters related to transactional responsibilities.
- Supervise and assist with process service and subpoena responses for transactional matters.
- Demonstrate exemplary ethical behavior, including freedom from undue influence and conflicts of interest, strict compliance with HMGMA policies, honesty, transparency, accountability, reporting all known illegal or unethical behavior, and protection of confidential information.
- Administer, coordinate, and comply with Business Management System (BMS), Environmental Management System (EMS), and Safety Management System (SMS) requirements.
- Perform all other duties as assigned by the General Counsel.
Qualifications
- Juris Doctor degree from an ABA‑accredited law school.
- Active membership in good standing with at least one U.S. state bar.
- 5+ years of job‑related experience for Counsel; 10+ years for Senior Counsel; 5+ years of experience tackling contract drafting, negotiation, contract management, litigation, arbitration, and mediation for corporations.
- Proficiency in Microsoft Office programs.
- Ability to manage multiple priorities and deliver clear, practical legal advice in real time.
- Attention to detail, problem‑solving, visionary guidance, and leadership by example.
- Prompt, regular attendance.
- Occasional domestic or international travel may be required.
Preferred Qualifications
- Georgia State Bar law license or willingness to obtain it within six (6) months of employment.
- Excellent academic credentials.
- Experience using contract lifecycle management software.
- Experience in law firm and corporate settings.
- Experience as in‑house counsel in a multinational company.
- Experience in the automotive, manufacturing, or industrial sectors.
- Exposure to international or cross‑border transactional legal compliance issues.

Location
The position is based on‑site at HMGMA’s plant in Ellabell, GA, requiring flexibility for weekends, holidays, and odd‑hour shifts, with possible on‑call duty and overtime.
