The Transaction Advisory team delivers critical insights and support for clients navigating business acquisitions and sales. With deep middle‑market expertise and national resources, they provide tailored due diligence services that uncover opportunities, assess risks, and highlight areas for improvement. Serving private equity groups and corporations, the team offers buy‑side and sell‑side due diligence, tax due diligence, and transaction structuring to ensure clients are well‑informed and positioned for successful outcomes. In this position, you will develop expertise, expand your knowledge and build collaborative relationships within the practice and with clients, receive meaningful support from firm leadership for substantial professional development, and perform state and local tax due diligence.

What You Will Do
Advise clients on enhancing state and local tax opportunities and managing state and local tax risk associated with mergers and acquisitions, including post‑acquisition actions
Analyze state and local tax risks of target companies using tax returns, accounting information, and interviews with management
Prepare reports correlating state and local tax due diligence and tax structuring findings
Identify issues affecting purchase price, deal structure, or deal termination
Work closely with executives, investment bankers, private equity and corporate clients, attorneys, or other stakeholders
Support multiple concurrent engagements, ensuring timely delivery of high‑quality work across diverse industries and deal sizes
Partner with cross‑functional teams to consistently exceed client expectations and deliver value‑added solutions
Minimum Qualifications
Bachelor’s Degree in Accounting, Finance, or a related field
Two (2) years of relevant work experience in state and local tax with a large public accounting or consulting firm
Extensive analytical and project management skills, including the ability to meet deadlines in a fast‑paced environment
Experience with corporate and flow‑through concepts
Excellent written and verbal communication skills
Ability to develop relationships with both team members and external clients
Proficiency with Microsoft Office, primarily Excel and PowerPoint
Strong current knowledge in state and local income, franchise and indirect tax
Preferred Qualifications
Experience in Transaction Services / M&A Tax
Current and active CPA (Certified Public Accountant) license, or a JD/LLM degree
