Position Summary
The
Project Finance Counsel
will be a full-time employee and report to the General Counsel. The Project Finance Counsel will support the various legal needs of the organization. The Project Finance Counsel will collaborate with and have exposure to all elements of a rapidly growing, dynamic corporate environment in the renewable energy industry.This is a unique opportunity to join a fast-growing company in a rapidly developing industry, with strong career development potential.
Essential Duties and Responsibilities
Lead legal support for Project Finance: Serve as the primary internal legal advisor on all aspects of project financing, including debt, tax equity, and construction financing for community solar projects.
Working closely with the project finance team and external counsel, support complex financings, including debt and equity investments in community solar projects.
Draft and negotiate credit agreements, equity arrangements, and related project documentation. Coordinate necessary consents and estoppels from third parties to support financings.
Serve as primary day to day legal contact for compliance with loan and tax equity covenants and support required notices and consents.
Collaborate with a cross-functional legal team on transactions from inception to closing.
Maintain direct communication with clients and manage day-to-day transactional work.
Conduct legal due diligence and provide strategic guidance on risk mitigation.
Though the position largely is focused on performing hands-on legal services for transactional matters, there may be some management of disputes and/or litigation with the support of external counsel.
Qualifications

This role requires attention to detail, flexibility, comfort with complexity and uncertainty, and a desire to learn new things. We have a high performance and strong customer service culture and are looking for someone with sound business judgment and an aptitude for problem-solving. The successful candidate must be collaborative and able to manage multiple and competing priorities.
At a minimum, the Project Finance Counsel must have all of the following requirements:
JD degree, admission to and in good standing with a state bar;
Three to Five (3-5) years minimum legal experience performing transactional legal work, ideally having exposure to or experience with most of the types of work noted in the “Essential Duties and Responsibilities” section, above;
Experience in the energy industry is preferred;
Experience in a corporate legal environment is preferred, but not required;
Excellent communication skills in both oral and written English, including strong contract-drafting skills; and
Proficiency in Word, Adobe, and PowerPoint.
Location
Atlanta, GA. Relocation assistance possible.
Our team works in the Atlanta office on Mondays-Thursdays and remotely on Fridays. This is not a remote-only position. Occasional travel may be required.
