
Capital Markets Transactional Attorney

The Capital Markets Transactional Attorney is an intermediate-level role supporting the legal coverage of derivatives and capital markets transactions. This position provides an excellent opportunity for an attorney with strong general transactional experience to develop specialized expertise in ISDA documentation and OTC derivatives while working closely with senior lawyers, internal stakeholders, and business partners.
The role calls for a proactive and commercially minded attorney who is eager to learn and build a working knowledge of derivatives products, market practices, and applicable regulatory frameworks across the firm’s operating regions. The successful candidate will contribute to legal analysis, negotiation, and documentation, applying sound judgment to help deliver practical, risk‑appropriate, and business‑focused legal solutions.
Responsibilities
Facilitate the review, drafting and negotiation of contracts and standard documentation for the relevant Citi business.
Providing guidance and advice on legal requirements, as they relate to derivative trading agreements, including the ISDA Master Agreements and Futures/Clearing Agreements, and helping drive resolution for such matters in coordination with senior team members, business stakeholders, and clients.
Assisting with the drafting of bespoke terms, providing advice, and in some cases, negotiating the more complex contract provisions in documents such as ISDA Master Agreements and Credit Support Annexes, OTC Clearing Documentation, Futures Agreements, and ancillary documents such as guarantees, account control and non-disclosure agreements.
Advising business partners and other departments, such as credit and treasury, on contract interpretation, as well as regulatory and commercial law issues relating to contract documents.
Assisting with the development and implementation of policies, procedures and guidelines.
Assists team in identifying, evaluating and contributing to the management of legal, regulatory, and reputational risk by collaborating with ICRM & Risk, following relevant legal developments, participating in internal projects, escalating as appropriate.
Assess risk when business decisions are made, demonstrating particular consideration for the firm’s reputation and safeguarding Citi, its clients and assets.
Qualifications
2-5 years of relevant industry experience, preferably in financial services.
Banking or financial industry experience, including laws related to OTC derivatives banking regulations.
Knowledge of international laws, regulations and practices while staying abreast of regulatory and legal environment, internal policies and industry trends.
Effective communication and negotiation skills and ability to build and maintain trusted relationships.
Excellent interpersonal, organizational and relationship management skills.
Proven ability to apply sound judgement while managing assignments in a demanding, fast-paced environment.
Bar license in good standing to practice law.
Education
Juris Doctorate or equivalent law degree.
