Key Responsibilities

Board & Corporate Governance Support:
Assist in scheduling, preparation, and administration of Board of Directors, committee, and shareholder meetings.
Utilize Nasdaq Boardvantage for accurate and timely document distribution, approvals, and signatures.
Assist Corporate Secretary with drafting board minutes, resolutions, governance documents, and reports.
Maintain corporate records and oversee compliance with legal and regulatory requirements.
Coordinate director compensation, track attendance, and prepare correspondence.
Support board and committee annual self-evaluation and director & officer questionnaires processes.
Provide high-quality administrative support to the CEO, COO, Corporate Secretary and other members of the executive leadership team.
Manage complex scheduling and calendar coordination for internal and external commitments.
Prepare professional reports, presentations, and confidential documents.
Handle correspondence, direct communications, and maintain utmost discretion and confidentiality.
Arrange travel itineraries, expense management, and ensure compliance with corporate policies.
What We’re Looking For:

7+ years of executive-level administrative experience with corporate secretary responsibilities. Experience in a financial services environment preferred.
Expertise in Nasdaq Boardvantage or similar board portal software.
Strong written, verbal, and analytical skills—capable of synthesizing financial and strategic information.
Ability to work independently, multitask, and anticipate leadership needs proactively.
High-level organizational skills, discretion, and problem-solving ability.
Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint, Outlook) and collaboration tools (Zoom, WebEx, SharePoint).
A paralegal background is a plus.
Location:

This role requires on-site work at our corporate offices in Westerly, RI and Providence, RI.

Compensation: A good‑faith, reasonable estimate of the base salary range for this role is $95,000 - $115,000 per year and the actual offer will depend on factors such as experience, skills, training, certifications, and education.
This base salary reflects one component of our competitive compensation package. This position may be eligible for an annual bonus and includes a comprehensive benefits package.
