Fractional Controller / Technical Accounting Consultant
Our client is a high-growth, pre-revenue deep tech R&D company operating in a highly complex technical environment. As they prepare for a Series B raise and potential capital markets transaction, they are building scalable financial infrastructure while navigating sophisticated accounting challenges. We are seeking a Fractional Controller / Technical Accounting Consultant to serve as an embedded advisor and internal leader across complex accounting workstreams. This is a high-impact role supporting IPO readiness, SOX compliance, and technical accounting initiatives in close partnership with executive leadership and external advisors. This is not a traditional close-focused Controller role. Instead, the position is centered on technical accounting, capital markets readiness, and financial reporting infrastructure in a fast-paced, build-as-you-go environment.
Key Responsibilities
Lead technical accounting research and draft formal memos in accordance with U.S. GAAP
Support IPO readiness and capital markets preparation, including SEC-level reporting considerations
Assist with SOX compliance and internal controls design/implementation
Interpret and operationalize guidance from external advisors
Partner with leadership on complex accounting matters, including:
Convertible debt
Warrants
Equity and capital structure transactions
Act as a liaison between internal teams and external advisors
Help prioritize and manage multiple concurrent accounting workstreams
Provide guidance and support to junior accounting staff as needed
What You Bring
CPA strongly preferred
7-12+ years of experience, ideally with a Big Four or large national CPA firm, at the Manager or Senior Manager level or above
Deep expertise in technical accounting, including U.S. GAAP research, memo writing, and complex
on-revenue accounting areas
Strong experience with SOX compliance, internal controls implementation, and public company or SEC-reporting environments
Hands‑on experience with Workiva, including XBRL tagging and EDGAR filings
Experience supporting IPO readiness or capital markets transactions
Proven ability to operate independently in fast-paced, evolving environments and manage multiple priorities

Has experience partnering with external advisors (Big Four or similar firms)
