We are looking for a Senior Paralegal to join our Team supporting global governance initiatives across the Clarivate organization. About You - Experience, Education, Skills, and Accomplishments
Bachelor’s degree required
Minimum 5 years of experience as a Paralegal within corporate law, corporate governance, or entity management
It Would Be Great If You Also Have…
US Public Notary License
Experience with general corporate governance matters for US entities, such as managing annual reports and business licenses
Demonstrated experience utilizing technology, such as Diligent Entities, Workiva and Boardvantage
Experience using Visio or Lucidchart (process maps, workflows)
What You'll Be Doing in This Role
Supporting a wide range of company secretary functions including business licenses, registrations, annual reports, and regulatory compliance
Ensuring accuracy of global subsidiary entity records, working closely with regional controllers and outside counsel
Preparing, maintaining, and ensuring accuracy of corporate books, minutes, approvals, and filings
Assisting with data management for the global entity governance system
Helping prepare and maintain a global calendar of regulatory filings
Responding quickly to internal requests regarding corporate actions and historical records
Supporting preparation and submission of SEC and NYSE filings
Managing special projects such as new legal entity formation, reorganizations, and corporate restructures
Conducting advanced legal research and summarizing findings for senior attorneys
Supporting compliance matters, including interpreting regulatory requirements
Managing digital document organization and archival processes
Serving as a liaison to external counsel and regulatory stakeholders
Assisting senior counsel in preparing materials for board meetings and executive sessions
Helping implement process improvements, workflow enhancements, and governance best practices
About the Team
You will be joining a growing corporate governance team consisting of one additional team member. This is a collaborative, detail-oriented legal environment that is part of the wider Legal, Risk and Compliance team within Clarivate.
The work is meaningful, impactful, and offers exposure to cutting-edge governance areas, including AI oversight and M&A integration frameworks – giving you the chance to shape processes from the ground up.
Hours of Work
This is a full-time, permanent position working core business hours Monday-Friday, with the flexibility to support occasional global time zones.
This is a hybrid role, requiring in-office work up to 3 days per week in Philadelphia, Alexandria, or Ann Arbor.
