Job Description
The Transaction Advisory Group at TD Securities is hiring for an associate position in New York to support the Global Capital Markets Group, with focus on fixed‑income origination and execution including Asset‑Backed Securities and Leveraged Finance Private Credit businesses. This role will also provide direct exposure to senior leadership through TD Securities Global Underwriting Secretary responsibilities. This is an opportunity to join a growing team with visibility at the senior executive level within the TD Bank Group and gain transaction experience across multiple products, sectors and asset classes, and a high level of responsibility in a fast‑paced and dynamic investment banking and global markets environment.

Key Responsibilities

Underwriting Secretary

Facilitating and managing underwriting approvals across equity and fixed‑income products, and direct coordination with senior leadership which may include policy management

Provide internal training, as applicable, on underwriting approval‑related processes and requirements

Assisting stakeholders with daily transactional and advisory support responsibilities

Review transaction agreements and documents with efficiency and clarity and coordinate with internal and external counsel

Deal documentation management and record‑keeping

Manage transaction closings and processes

Coordinate preparation and review of transactional due diligence questionnaires

Processing invoices and ensuring deal expense reimbursement

Provide support to the team on structuring transactions and new business solicitations

Review and update pitch books

Provide thorough factual and legal research and analysis

Coordinate and communicate with various internal departments across the bank and dealer (middle/back office, global counterparts, business management and finance)

Internal/external audit management

Assist with internal policy development and education

Develop extensive network of internal contacts across groups including debt capital markets, syndicate, legal, compliance, business management and external contacts including law firms, trustees, and other transaction advisory teams across other dealers

Requirements

Desire to learn and grow in the area of corporate finance and financial markets

Quick learner with the ability to get up to speed quickly and learn about new procedures, products and clients

Self‑motivated – expect high level of autonomy, roll‑up‑your‑sleeves can‑do attitude

Ability to organize thoughts and clearly articulate points and provide summaries and explanations of transactions, orally or in writing to management or other internal departments

Highly collaborative and flexible in a team and client environment with ability to form good relationships internally and externally

Ability to prioritize –expect fast‑paced work environment with evolving priorities

Attention to detail and organization — accuracy of work of utmost importance

Proven ability to exercise sound judgement

Integrity and high moral standards

Highly motivated

Qualifications

Bachelors degree required

3 years of related experience

Preference for paralegal/junior associate experience at a law firm or legal and capital markets background

Strong references

Must be proficient in the use of MS Excel, Word and PowerPoint

Series SIE, 63, 7, and 79 (expected to be completed within 7 months from start date)
