The Role
We are seeking a highly organized Corporate Governance Paralegal to support Forged Fiber's Legal Department across corporate governance, entity management, and general legal operations. This role directly supports the Head of Legal and Compliance by managing Board and committee activities, subsidiary governance, and corporate records across the company's multi‑state footprint. This role also provides broad‑based support on due diligence, commercial transactions, compliance projects, and other matters as needs arise. This is a highly visible paralegal role and ideal for someone who thrives in a fast‑paced environment, works autonomously, and serves as a key operational partner to the legal team.
What You'll Do
As a Corporate Governance Paralegal, typical tasks may include, but are not limited to:
Key Roles and Responsibilities
Corporate Governance and Board Support: Prepare Board and committee meeting materials, maintain corporate calendars and governance schedules, coordinate meeting logistics, assist with Board resolutions and written consents, and maintain minute books and corporate records.
Entity Management and Subsidiary Maintenance: Manage entity formation, qualification, and dissolution filings across the company's multi‑state footprint. Track annual reports, registered agent requirements, and subsidiary records to ensure entities remain in good standing.
Compliance Support: Assist with investor reporting and securities compliance tasks, including tracking consent requirements and governance protocols.
Due Diligence Support: Support due diligence for strategic transactions and projects by organizing data rooms, coordinating document production, and assisting with integration tasks such as entity restructuring and filings.
General Legal Department Support: Provide broad‑based support as needed, including contract management, legal research, compliance projects, document review, and coordination with outside counsel. Flexibility to support multiple practice areas is essential.
About You
You are a proactive, highly organized paralegal with a proven ability to manage corporate governance processes and juggle multiple priorities. You manage complex workflows, anticipate needs, and deliver high‑quality work product with minimal supervision. You take pride in precision and completeness, understand the importance of corporate formalities, and know how to keep a legal department running smoothly. You bring:
A paralegal certificate, associate's degree in paralegal studies, or bachelor's degree with paralegal certification or equivalent experience
8+ years of experience as a corporate paralegal, with a strong background in entity management, corporate governance, and Board support
Expertise in managing subsidiary records, state filings, annual reports, and registered agent requirements across multiple jurisdictions
Experience preparing Board materials, resolutions, written consents, and maintaining corporate minute books
Familiarity with due diligence, data room management, and post‑closing integration tasks
Proficiency with corporate governance and entity management software platforms
Ability to thrive in a fast‑paced environment with competing priorities and willingness to support the broader Legal Department
Work Location
Dallas (Hybrid), Denver (Hybrid), or Remote
Compensation & Benefits
This information reflects the anticipated base salary range for this position based on current national data. Minimums and maximums may vary by location. Individual pay is based on skills, experience, and other relevant factors.
Base Salary Range: $75,000 – $95,000 USD
This role is also eligible for an annual bonus.
