Role Summary
We are seeking an experienced corporate and M&A lawyer to join the Practical Law Corporate and M&A team in the United States.

About the Role
As a Senior Specialist Legal Editor in Practical Law, you will use your specialist legal knowledge of, and experience in corporate and M&A law and practice to create and maintain a wide range of content and to support the development of Thomson Reuters AI‑powered legal solutions. Working in a supportive team of highly experienced colleagues, you will deal with a breadth of interesting work.

Major responsibilities/accountabilities

Research, write and maintain clear, current, and practical legal content aligned with market practice and customer needs, and business objectives.

Review and edit content written by others, whether by colleagues or external expert contributors.

Keep up to date with legal, practice and market developments to ensure content remains accurate, relevant and aligned with business objectives.

Use your legal expertise to support the development of customer‑focused Thomson Reuters' AI‑powered legal solutions.

Use your legal expertise and editorial skills to support the development and application of internal AI editorial tools.

Develop and maintain relationships with lawyers and industry groups to ensure content reflects current market practice.

Use your specialist legal knowledge to assist the wider Thomson Reuters team, working with product management, sales, marketing, and technology functions where necessary.

About You
You're a fit for the role if you are a Juris Doctor with a current license to practice law in at least one US jurisdiction and have:

At least 8 years' experience of working as a corporate and M&A lawyer in a law firm or in‑house with a track record of leading complex M&A deals.

Extensive experience in:

Corporate law (entity formation and ongoing governance), with in‑depth knowledge of the Delaware General Corporation Law, Delaware Limited Liability Company Act, Delaware Limited Revised Uniform Limited Partnership Act, and Delaware case law.

Mergers and acquisitions (public or private), including experience drafting and negotiating M&A agreements and other corporate forms and standard practice materials, as well as advising boards and senior management on related matters.

Preferred Qualifications & Skills

The ideal candidate will also have at least some experience representing private equity sponsors and portfolio companies, including structuring and negotiating LBOs, minority/majority investments, carve‑outs, take‑privates, and add‑ons, and drafting, advising, and negotiating the related M&A transactional, financing, and other ancillary agreements.

Strong writing skills, and a passion for writing about legal practice accurately, concisely and in plain English.

A collaborative mindset with the ability to work effectively independently and in teams.

Strong technical skills and the ability to effectively utilize various tools, including generative AI technologies, to enhance productivity and accuracy.

Adaptability and flexibility to work on diverse projects and tasks within the generative AI space as well as new and emerging technologies.

A curious mindset, including about the increasing intersection of AI and legal practice, adaptable and open to change.

Experience of using AI tools in legal work.

Interview Process
Candidates selected for a second interview will be asked to take a writing test.

Compensation
The base compensation range varies across locations. For eligible US locations, the base compensation range for this role is $119,700 USD – $222,300 USD. Base pay is positioned within the range based on several factors including an individual's knowledge, skills and experience with consideration given to internal equity. Base pay is one part of a comprehensive Total Reward program which also includes flexible and supportive benefits and other wellbeing programs. The role may also be eligible for an annual bonus based on a combination of enterprise and individual performance.
