We are seeking a motivated and experienced Corporate Paralegal to support our growing Corporate and Tax Team in our Del Mar Heights, San Diego and Orange County offices. This role provides substantive, billable support to attorneys handling complex corporate and transactional matters and offers the opportunity to take ownership of key components of transactions from inception through closing. Summary

Under the supervision of attorneys, the Corporate Paralegal performs a broad range of substantive legal duties in support of corporate, tax, and transactional matters. The position requires strong organizational and technical skills, sound judgment, attention to detail, and the ability to manage multiple matters in a fast-paced environment while maintaining a high standard of accuracy and professionalism. Location

This position can be based in either our Del Mar Heights, San Diego or Irvine office and may offer a hybrid work arrangement for both billable and non-billable work, subject to firm policy and business needs. Responsibilities

Responsibilities include, but are not limited to: Preparing and filing entity formations, qualifications, amendments, and dissolutions with state and other governmental agencies Maintaining corporate records, minute books (electronic and hard copy), capitalization tables, and entity management systems Drafting, reviewing, and organizing corporate documents, agreements, consents, and resolutions Supporting mergers, acquisitions, financings, and other transactional matters, including coordinating and managing closing processes Preparing and managing signature packets, closing checklists, and post-closing deliverables Conducting and coordinating due diligence, including organizing data rooms and reviewing diligence materials Communicating directly with clients, internal teams, and external vendors, including corporate services providers Assisting attorneys with ongoing corporate governance, compliance, and transactional projects This position includes billable responsibilities, including transactional support, due diligence coordination, and document preparation. Qualifications

The ideal candidate will be highly organized, detail-oriented, and comfortable taking ownership of assigned matters while working collaboratively with attorneys and team members. Required and preferred qualifications include: 3+ years of corporate paralegal experience, preferably in a law firm supporting corporate or transactional practices ABA-approved Paralegal Certificate required Strong proficiency in Microsoft Office (Word, Excel, Outlook) Experience with iManage preferred Experience working with corporate services providers and entity management platforms (e.g., Secretary of State filings) preferred Excellent written and verbal communication skills Ability to manage multiple matters simultaneously, meet deadlines, and exercise sound independent judgment A collaborative, proactive, and solutions-oriented mindset Deliver timely, accurate, and high-quality work product Effectively communicate with attorneys, clients, staff, and third parties Anticipate attorney and client needs and proactively address issues Manage competing priorities in a fast-paced transactional environment Foster positive working relationships and contribute to a team-oriented culture Comply with all firm policies and procedures Why Work With Us?

These roles typically pay $95,000-$125,000 depending on experience. If your pay expectation is outside this range, we still encourage you to apply.
