
Coughlan Business Law, PLLC is looking for a Corporate Paralegal to join its business and transactional legal team. The Paralegal will assist with a variety of high-level corporate and transactional paralegal duties. They will also maintain positive contact with clients, observe confidentiality, and oversee corporate maintenance for the firm’s clients.
Essential Functions
Maintain client confidentiality and positive client relationships. Draft and file incorporation, formation, amendment, and dissolution documents for corporations, LLCs, and other legal entities. Conduct and analyze UCC searches. Maintain organized records for corporate entities, including ownership ledgers and state/federal filings. Prepare and distribute corporate documents, certifications, and UCC statements. Manage closings for mergers and acquisitions, financings, and other corporate transactions. Coordinate the collection of signature pages, preparing closing binders, and handling post-closing matters such as the transfer of permits or licenses. Conduct corporate diligence reviews and summarize findings. Prepare and file Form D and state level securities filings. Organize and maintain electronic data sites, including data rooms for corporate transactions. Conduct factual research and analysis on statutory requirements. Work with external vendors to manage attorney and client requests. Specific Skills Required
Excellent organizational, analytical, and communication skills. Accurate time record-keeping. Ability to establish effective working relationships with lawyers, staff, and clients. Proficient in proofreading, redlining, and document comparison. Strong knowledge of Washington and Delaware corporate law, federal and state securities laws, and private company M&A. Proficient in Microsoft Office Suite, NetDocuments, Adobe Acrobat, and Excel. Fluent in Carta. Ability to take initiative and exercise discretion and independent judgment. Education And Experience
5+ years of experience as a corporate paralegal working with privately held companies, including startup companies. 4-year degree in a related field or equivalent required; paralegal certificate or degree preferred. Company Description
