Adams and Martin Group is seeking a

Corporate and Real Estate Legal Assistant

who will provide both administrative and paralegal support to the firm’s Managing Partner. The ideal candidate brings strong transactional experience across corporate, real estate, and governance work, with deeper expertise in at least one specialty area. This role includes both billable and non‑billable work and offers the opportunity to expand skills across a broad transactional practice.

Key Responsibilities & Requirements

Support corporate, real estate, and general transactional matters, including drafting, proofreading, and finalizing documents, correspondence, engagement letters, and governance materials.

Assist with M&A, equity offerings, secured financing, entity formation, organizational governance, due diligence, UCC filings, SEC filings (e.g., Form D), and related transactional documentation.

Manage real estate transaction workflows, including title review, due diligence organization, escrow coordination, drafting leases and purchase agreements, and assisting with closing and post‑closing matters.

Maintain client files (electronic and hard copy), prepare new matter forms, perform conflict checks, schedule meetings, manage calendars and deadlines, and coordinate attorney travel and CLE records.

Prepare and submit expense reports, track and revise attorney time entries, coordinate invoicing, and interface with clients as needed.

Organize and maintain organizational records, ensure timely execution of compliance documentation, and perform corporate/securities research using online legal research tools.

Create presentation materials for webinars and trainings; provide overflow support to other assistants; and assist with overtime assignments when required.

Highly proficient in Microsoft Office, Adobe Pro, and document management systems; familiarity with AIR‑CRE, CAR software, and e‑signature/transaction platforms preferred.

Requires a Paralegal Certificate (or equivalent under CA B&P Code §6450), 5+ years of corporate or real estate transactional experience, strong organization skills, and the ability to manage multiple attorneys and matters confidentially and professionally.

Must demonstrate exceptional attention to detail, strong communication skills, integrity, and a proactive, independent work style.
