
Job Title – Corporate Transactional Paralegal
Company Location – New York, NY
On‑site, Full Time, Hybrid 3 Days Per Week
Salary Range: $150k-175k
Job Summary Integr8staff seeks an experienced Corporate Transactional Paralegal to support the Corporate and Securities practice group for a global AmLaw50 firm and rated one of the Best Law Firms to Work in 2025.
Responsibilities
Lead and manage due diligence activities including conducting UCC, litigation, and intellectual property searches, and reviewing results.
Oversee corporate governance and entity management functions, from preparing and filing documents for entity formation and amendments to ensuring compliance with regulations such as the Corporate Transparency Act.
Administer entity and stock records on platforms such as Carta, Fidelity, and Global Shares.
Support securities and Blue‑Sky filings, assist with securities registration, and manage documentation for equity transactions.
Coordinate all aspects of closing processes, including preparing collateral descriptions, UCC filings, execution of closing documents, and post‑closing administration.
Collaborate closely with internal teams and external vendors, maintaining strict confidentiality and adherence to firm standards.
Conduct due diligence, manage closing processes, and collaborate with external vendors to ensure efficient and accurate transaction handling.
Must be available and able to work during core business hours as well as overtime as needed.
Handles multiple projects, often in a fast‑paced, high‑pressure environment, requiring prioritization and flexibility.
Requirements
A minimum of 8‑10 years of transactional paralegal experience in a law firm or in‑house counsel.
A bachelor's degree or some college is preferred.
An ABA‑approved paralegal certification is required.
Billing requirement of 1,600 hours per year.
Strong project management skills with the ability to independently oversee tasks, ensuring timely completion and adherence to project deadlines.
Able to manage various projects with shifting priorities while working in a fast‑paced environment.
Experience with diligence search parameters.
Knowledge and experience with vendor UCC filing platforms and e‑filing.
Excellent spelling, grammar, and punctuation skills.
Ability to work overtime, evenings, and weekends, as needed.
Must have proficiency in Windows 10, Microsoft Outlook, Excel, PowerPoint, Adobe Acrobat Professional, Zoom, and Teams.
Travel up to 10% may be required.
