
Corporate Paralegal

Doerner Saunders is seeking an experienced Corporate Paralegal to support attorneys in all phases of the commercial transaction process, including, but not limited to, document review and retention, drafting legal documents, performing legal and fact research, corresponding with clients and other counsel or parties, and calendaring deadlines and events. This role requires a detail-oriented professional who can manage complex transactional workflows, coordinate with multiple stakeholders, and thrive in a fast-paced law firm environment.
Functions and Responsibilities:
Title commitment and title policy preparation and completion, survey review, forming corporate entities, assisting in the preparation of draft loan and acquisition documents, and ordering UCC searches
Due diligence and post-closing preparation of closing documents for commercial transactions
Assist with a variety of tasks related to commercial real estate agreements including updating and maintaining the real estate portfolio, drafting and revising leases, amendments and other related documents, resolving legal inquiries, and assisting with negotiation, among other duties
Assist sophisticated M&A transactions for private and some publicly held companies, debt and equity financing transactions including private placements and venture capital, corporate governance for closely held small and medium size businesses, and other miscellaneous corporate oriented work
Investigate individuals, companies or other matters relevant to the transaction
Conduct research and prepare memorandum summarizing research
Perform research on other parties or matters, re: address, assets, SSN, DOB, DBA, companies, other names and/or other transactions
Serve as additional contact point/liaison with client and/or opposing counsel
Assist with gathering information and documents
Preferred Knowledge, Skills and Abilities:
Minimum of 3 years’ experience in transactional (and possibly specific practice areas) work.
Interpersonal skills necessary in order to communicate and follow instructions effectively from a diverse group of clients, attorneys and staff to provide information with ordinary courtesy and tact.
Interpersonal skills necessary in order to communicate in person, by e-mail and telephone to provide information with ordinary courtesy and tact.
Work occasionally requires a high level of mental effort and strain while producing a high volume of information performing other essential duties.
Work occasionally requires more than 37.5 hours per week to perform the essential duties.
