
Real Estate Corporate / Transactional Paralegal

We are seeking an experienced Real Estate Corporate / Transactional Paralegal to support the General Counsel in a fast-paced commercial real estate development and investment environment. The company operates a commercial real estate portfolio actively developing and constructing new industrial warehouse projects through existing land holdings and strategic acquisitions.
This role offers hands‑on involvement across real estate transactions, corporate governance, financing, leasing, and legal operations, supporting a diverse and growing portfolio.
Transactional Document Drafting, Due Diligence & Execution
Assist in drafting, reviewing, and coordinating a wide range of real estate transaction documents, including:
Purchase and sale agreements
Leases and amendments
Easements and CC&Rs
Organize, compile, and disseminate due diligence materials for acquisitions, dispositions, and financing transactions.
Review closing packages for completeness and accuracy and coordinate execution.
Coordinate execution of legal documents and ensure proper routing, signature blocks, and finalization.
Corporate Entity Management & Filings
Track, prepare, and coordinate corporate entity documentation, including:
Entity formations and amendments
Written consents and meeting minutes
Secretary of State filings
Fictitious business name filings
Review documents to ensure accuracy of ownership information and proper execution.
Licensing & Regulatory Compliance
Track, prepare, and coordinate real estate and construction‑related licensing documentation and filings.
Ensure compliance with applicable regulatory requirements.
Lease Enforcement & Evictions
Prepare in‑house default notices.
Coordinate eviction processes with outside counsel and internal Asset Management teams.
Legal File & Document Management
Maintain organized legal files and document management systems (both electronic and physical).
Ensure proper indexing, storage, and accessibility of all legal documentation.
Offsite Records Management
Coordinate document archiving and retrieval with offsite storage providers (e.g., Iron Mountain).
Maintain tracking systems for stored records and ensure compliance with retention policies.

EDUCATION / QUALIFICATIONS
Bachelor’s degree and/or Paralegal Certificate required.
Minimum
5+ years
of experience as a corporate/transactional paralegal in commercial real estate.
Strong experience with:
Commercial real estate transactions
Title and escrow processes
Corporate entity management
Proficiency in Microsoft Office Suite and document management systems (iManage and MS Contracts 365 a plus).
Experience supporting industrial, office, or mixed‑use real estate portfolios.
Familiarity with real estate development and construction processes.
Experience working with in‑house legal teams or real estate investment firms.
