About the Role HireNow Staffing is recruiting a Corporate Transactions Associate to join a top‑tier legal team in Silicon Valley. This role is ideal for a mid‑level attorney (2‑5 years’ experience) seeking a high‑impact, client‑facing position handling sophisticated transactions. From emerging company work and venture capital deals to M&A and private equity transactions, you will advise startups, established companies, funds, and entrepreneurs through critical growth phases.
What You’ll Do
Manage and support venture financings, early‑stage investments, and capital raises.
Draft, review, and negotiate transaction documents for mergers, acquisitions, joint ventures, and other strategic deals.
Advise companies on general corporate governance, compliance, and legal structuring.
Collaborate with partners and clients, offering hands‑on support and strategic legal counsel.
Oversee and coordinate due diligence, document preparation, closings, and post‑transactional matters.
Maintain and grow long‑term relationships with high‑growth companies, private equity firms, and investors.
Qualifications
JD from an ABA‑accredited law school.
Member in good standing of the California Bar.
2‑5 years of relevant corporate transactional experience.
Proficient in venture capital financing, M&A, and private equity deals.
Strong background in contract drafting, project management, and business counseling.
Comfortable in fast‑paced, high‑growth environments and client‑facing settings.
Excellent communication, writing, and interpersonal skills.
