Senior Vice President Senior Counsel
The Senior Vice President Senior Counsel will provide legal support to Capital Markets, Servicing, and Secondary Marketing on a variety of purchase and sale transactions, servicing and subservicing agreements, confidentiality agreements, derivatives, and investment adviser-related matters.
- Review, negotiate, and draft mortgage loan purchase and sale agreements, third‑party mortgage loan securitization agreements, mortgage loan repurchase agreements, mortgage loan servicing and subservicing agreements, and confidentiality agreements.
- Structure, draft, and negotiate ISDAs, MSFTAs, and securities repurchase agreements.
- Review and update derivatives trading policies, including those related to commodity pool operator and commodity trading advisor compliance.
- Draft originator and servicer disclosures in connection with third‑party securitizations.
- Assist with Investment Advisers Act compliance matters.
- Draft and negotiate guarantees and other miscellaneous corporate and commercial documents.
- Perform other related duties as required and assigned.
Qualifications
- Post‑graduate degree.
- 5+ years of relevant work experience.
- Significant experience in secondary market and capital markets transactions, including bulk whole loan sale transactions, third‑party mortgage securitization transactions and related regulatory and compliance requirements.
- Knowledge of mortgage loan origination, underwriting, servicing, and subservicing is a plus.
- Licensed to practice law in CA or TX.
- Must be highly proficient in Word.
- Must be a team player, with the ability to work independently, and possess a strong attention to detail, excellent critical thinking skills, sound judgment and the capacity to handle multiple projects effectively.
- Strong business acumen and ability to interface with senior and executive management.
