Job Overview

We are seeking an experienced Senior Commercial Counsel to support Gotion’s growing U.S. operations by drafting, reviewing, and negotiating a wide range of commercial agreements that enable the company’s sales, procurement, manufacturing, and strategic partnership activities. This role will work closely with cross-functional teams to provide practical legal guidance on contract structure, risk allocation, and negotiation strategy while helping drive business growth. The ideal candidate will bring strong commercial contracting experience in the battery, energy storage (ESS) or broad energy industry and the ability to translate complex legal issues into clear, business-focused advice in a fast-paced environment.

Responsibilities

• Draft, review, and negotiate a wide range of commercial agreements, including supply agreements, customer contracts, procurement agreements, NDAs, service agreements, and strategic partnership contracts.
• Provide practical legal advice to sales, procurement, operations, and business leadership on contract terms, risk allocation, and commercial strategy.
• Support contract lifecycle management, including template development, playbooks, and contract process improvements.
• Advise internal stakeholders on commercial risk, liability exposure, and dispute prevention related to business transactions.
• Assist with negotiations with customers, vendors, and strategic partners in the EV and energy storage sectors.
• Provide general legal support on corporate governance, compliance, and operational matters affecting the business.
• Coordinate with external counsel when specialized expertise or litigation support is required.
• Monitor legal and regulatory developments affecting commercial transactions in the manufacturing and energy industries.
• Contribute to building scalable legal processes to support the company’s rapid growth.

Qualifications

• Juris Doctor (JD) or Master of Laws (LL.M.) from an accredited U.S. or internationally recognized law school.
• 10–15 years of legal experience, with strong emphasis on commercial contracts and transactional work (in-house experience preferred).
• Direct and recent legal experience supporting the battery, energy storage (ESS), EV, or broader energy industry required.
• Experience drafting and negotiating complex supply, manufacturing, and technology agreements within the battery, energy storage, EV, or advanced manufacturing sectors.
• Strong understanding of contract law, risk management, and commercial negotiations.
• Ability to translate complex legal concepts into practical guidance for business stakeholders.
• Excellent communication and cross-functional collaboration skills.
• High level of integrity, sound judgment, and ability to manage multiple priorities in a fast-paced environment.
• Bar membership in either CA or IL.

Base pay is one part of our total compensation package at Gotion, and is determined within a range. This provides you with the opportunity to progress as you grow and advance your career at Gotion. The base pay range for this role is shown below, and will depend on your skills, qualifications, experiences, and location.

Expected Pay Range

$200,000 - $250,000 USD, plus eligibility for bonus and benefits.
