About the Opportunity A leading global law firm is seeking a highly qualified Associate to join its Corporate Department in Houston, with a focus on Capital Markets and Public Company Representation. This is an exciting opportunity to work within one of the world’s most highly regarded capital markets practices, advising clients on sophisticated transactions and complex public company matters across domestic and international markets.
The team advises issuers, private equity investors, and investment banks across all major financial centres and is consistently recognised as a market leader for both the volume and value of its work.
The Practice The Capital Markets practice supports clients in raising billions of dollars annually across all forms of securities products, including IPOs, direct listings, high-yield bonds, derivatives, and other equity and debt offerings.
Known for its innovation and thought leadership, the team helps clients navigate new routes to public markets and develop strategic capital raising solutions for acquisitions, investments, and growth initiatives.
The practice is further strengthened by a dedicated team of former senior SEC officials and experienced securities lawyers who provide sophisticated, real-time advice on complex securities law, listing requirements, and regulatory matters.
The Role This position is suited to a 3rd through 6th year associate with strong experience in capital markets and/or public company representation.
Key responsibilities include:
Advising issuers, sponsors, and investment banks on equity and debt capital markets transactions Supporting IPOs, follow-on offerings, high-yield debt issuances, direct listings, and other public and private securities offerings Assisting public company clients with SEC reporting, disclosure obligations, and corporate governance matters Advising on securities law compliance, stock exchange listing requirements, and regulatory developments Supporting strategic capital raising transactions across multiple industries and jurisdictions Collaborating with multidisciplinary teams across the firm’s global platform on complex cross-border matters
Candidate Profile
Minimum of 2 years’ experience in capital markets and/or public company representation Strong background from a leading law firm with exposure to sophisticated transactional work Experience advising on securities offerings, SEC compliance, and/or public company governance matters Strong academic credentials Excellent drafting, analytical, and negotiation skills Ability to work effectively in a fast-paced, high-performance environment Commercial mindset and strong client management skills
