
Corporate Paralegal

A national law firm is seeking an experienced Corporate Paralegal to support its corporate and securities practice. This role offers exposure to sophisticated transactions, including M&A and securities filings, in a fast-paced, team-oriented environment.
Key Responsibilities
Prepare and file entity formation documents for corporations, partnerships, and LLCs
Assist with amendments, mergers, dissolutions, and withdrawals
Maintain corporate minute books and entity records
Support M&A transactions, IPOs, and corporate closings
Prepare stock certificates and assist with franchise tax filings
Draft, proofread, and manage corporate legal documents
Assist with SEC filings and compliance under the Securities Acts of 1933 & 1934
Handle UCC filings, searches, and EIN (SS-4) applications
Coordinate board and committee meeting materials
Track and enter billable time accurately
Qualifications
Minimum 3+ years of corporate paralegal experience
Strong experience with corporate governance and transactional documentation
Excellent research, drafting, and organizational skills
High level of accuracy and attention to detail
Strong communication skills (written and verbal)
Ability to manage deadlines, multitask, and work under pressure
Proven ability to work independently and collaboratively
Proficiency in Microsoft Office (Word, Excel, Outlook)
