Dykema’s Corporate Finance group seeks an associate with 4–6 years of experience to join its Dallas office. The ideal candidate will have significant experience in mergers and acquisitions and a strong interest in the healthcare industry. Prior exposure to the healthcare sector is a plus. This role will primarily support transactions for Dykema’s industry-leading Medical and Dental Services Organizations group. Candidates should have experience with acquisition transactions, including drafting and negotiating acquisition agreements and related ancillary documents. Familiarity with financing transactions and general corporate representation, including entity formation and capitalization, corporate governance matters, operating agreements, and commercial relationships, is preferred. We are also interested in candidates with a background in technology outsourcing and commercial transactions, including experience drafting, reviewing, and negotiating a broad range of agreements, such as SaaS agreements, technology agreements, master services agreements, and other vendor and commercial contracts. Successful candidates will demonstrate strong analytical, drafting, and communication skills, as well as the ability to work collaboratively with colleagues and clients at all levels. Eligibility for admission to the Texas State Bar is required.
Responsibilities
Support transactions for Dykema’s Medical and Dental Services Organizations group.
Draft and negotiate acquisition agreements and related ancillary documents.
Familiarize with financing transactions and general corporate representation, entity formation, capitalization, corporate governance matters, operating agreements, and commercial relationships.
Draft, review, and negotiate a broad range of agreements such as SaaS agreements, technology agreements, master services agreements, vendor and commercial contracts.
Demonstrate strong analytical, drafting, and communication skills and collaborate with colleagues and clients at all levels.
Qualifications
4–6 years of experience in mergers and acquisitions.
Strong interest in the healthcare industry; prior exposure to the healthcare sector is a plus.
Experience with acquisition transactions, drafting and negotiating acquisition agreements.
Familiarity with financing transactions and general corporate representation, including entity formation, capitalization, corporate governance matters, operating agreements, and commercial relationships.
