Senior Corporate Paralegal (Corporate Governance) – New York (also open to Chicago)
Hybrid - 2 days in-office/3 days work from home
Our client, a globally recognized leadership advisory firm, is seeking a Senior Corporate Paralegal to support its Board of Directors, executive leadership, and legal operations function.
This is a high-visibility role with direct interaction with senior leadership and Board members. The ideal candidate has owned the governance process end-to-end, has been in the room for Board and Committee meetings, and is comfortable operating as a proactive, self-directed resource.
Key Requirements
Deep Board of Directors experience
— full ownership of the board cycle (agendas, materials, minutes, resolutions, calendars)
Direct exposure to Board members and executives , including participation in Board/Committee meetings
Hands-on experience with board portals
(Diligent strongly preferred)
Advanced PowerPoint skills , including preparing Board-level presentations
10+ years of experience
in a corporate legal department or corporate governance function
Proven ability to
take initiative, anticipate needs, and operate independently
in a fast-paced environment
What You’ll Do
Lead
Board and Committee processes end-to-end
Draft and manage
agendas, minutes, resolutions, and board materials
Oversee
governance calendars, materials distribution, and recordkeeping
Work closely with senior leadership and cross-functional stakeholders
Support
legal operations , including vendor management, budgeting, and internal processes
Assist with
Enterprise Risk Management (ERM) reporting
to the Board
Provide transactional support across
corporate and M&A matters , including:
Managing diligence workflows and
virtual data rooms
(organization, uploads, tracking)
Coordinating document collection across teams
Supporting closing processes and post-closing documentation
Acting as a
responsive, go-to resource
during active matters
