Recruiting for a Corporate Transactional Associate
with 3 – 6 years of broad experience with a range of corporate matters, including some or all of the following: (i) drafting and negotiating limited liability company agreements, joint venture agreements, partnership agreements, asset and stock purchase agreements, private placement memoranda, corporate resolutions and typical business contracts and (ii) reviewing organizational documents in the role of lender’s counsel to confirm SPE covenants and track authority of Borrower to execute loan documents. Not required, but experience drafting, reviewing and/or negotiating real estate joint venture agreements (as counsel to the developer/sponsor of a real estate project or on behalf of an investor) is desirable. Salary will be uniquely dependent on actual experience, but likely in the range of $200,000-$220,000.
