Responsibilities
Advise issuers, underwriters, investors, and financial institutions on capital markets transactions
Work on IPOs, follow-on offerings, private placements, and debt offerings
Draft and negotiate transaction documents, including registration statements and underwriting agreements
Support public company clients with SEC reporting and disclosure obligations
Coordinate transaction execution with partners, clients, and cross-functional teams
Collaborate on M&A and strategic transactions, including acquisitions and joint ventures
Manage multiple sophisticated transactions simultaneously with precision
Qualifications
3+ years of experience as a Corporate Associate Attorney or Capital Markets Attorney
Strong background in equity and/or debt capital markets transactions
Admission to the New York Bar (NY Bar required) or eligibility to become admitted
Excellent drafting, negotiation, and analytical skills
Familiarity with SEC reporting and disclosure requirements
Strong organizational and time-management abilities
Client-focused mindset with a collaborative approach
International or cross-border experience is a plus
Education
Juris Doctor (JD) degree or LL.M./foreign equivalent from an accredited law school
Certifications
Active membership in the New York State Bar
Skills
