
Associate Transactions Counsel - Alternative Asset Manager (Greenwich)

Our client, a leading global, alternative investment firm focusing in the private credit space is looking to bring on an Associate Counsel to join its in-house legal team. The person in this role will be supporting the legal and compliance team across a variety of activities for the firm, primarily focusing on transaction documents and managing the execution process while also being responsible for taking ownership of entity management matters for the firm. The role will be based in their Greenwich, CT office and the ideal candidate will be able to be onsite 5 days of the week.
Job Description:
Review, negotiate, and manage execution of NDAs, engagement letters, vendor contracts, and deal-related documentation, working closely with investment professionals and outside counsel
Partner closely with Investment Team on transaction closing and maintaining deal documents
Advise on regulatory filings, certifications, and reporting obligations, and coordinate timely submissions in partnership with compliance and external advisors
Oversee the formation, maintenance, and governance of funds and SPVs across multiple jurisdictions and advising on entity structure and governance matters
Assisting with AML/ KYC for new and existing entities, including structure chart creation and maintenance
Ad hoc projects as needed
Qualifications:
Juris Doctor required
2+ YOE at a law firm, asset management company, hedge fund, private equity or similar
Strong communication skills
Ability to work independently
