The Post Oak Group is seeking a Director, Transaction Lead to oversee and drive the full deal lifecycle from engagement through closing. This is an in-person, Houston, Texas-based senior role focused exclusively on sell-side lower middle market and middle market M&A and sell-side capital markets transactions. In this capacity, you will serve as the primary representative of the seller in M&A transactions and the issuer in capital raising mandates, leading all parties from initial engagement through a successful close.
The ideal candidate brings deep deal execution experience across both sell-side M&A and capital markets, with strong negotiation skills and a thorough understanding of transactions involving companies typically generating $500K to $50M of EBITDA and capital raises ranging from Pre-Seed through Series C.
Role Overview
As Director, Transaction Lead, you will be the senior point of contact responsible for managing all aspects of a mandate from initial engagement through final closing, working on-site at our Houston, Texas office. You will represent sellers and issuers exclusively, advocating for their interests and driving every phase of the transaction — from engagement execution and marketing through negotiation, due diligence, documentation, and close. This role requires a hands-on, execution-focused professional who can manage complexity across both transaction types, resolve deal issues, and consistently drive mandates to completion across both lower middle market and middle market deals.
Key Responsibilities
Own the full transaction lifecycle from initial client engagement through closing across sell-side M&A and capital raising mandates
Serve as the primary representative and advocate for the seller in M&A transactions and the issuer in capital raises from day one of engagement
Lead and coordinate negotiations with buyers, acquirers, investors, legal counsel, and other counterparties
Oversee due diligence processes, working closely with internal teams and client management
Manage and coordinate deal documentation, including purchase agreements, term sheets, disclosure schedules, and ancillary closing documents
Identify, escalate, and resolve deal issues, risks, and contingencies that may impact closing
Maintain consistent communication with clients, buyers, investors, attorneys, and other deal participants throughout the entire engagement
Collaborate with investor coverage and advisory teams to align deal strategy and execution
Coordinate with legal counsel on transaction structuring, representations and warranties, and indemnification provisions
Provide clients with regular deal status updates, strategic guidance, and issue resolution throughout the transaction lifecycle
Maintain disciplined documentation and tracking of all deal activity, milestones, and communications
Qualifications
Demonstrated experience managing sell-side M&A transactions and capital raises from engagement through closing in an investment banking, corporate development, or advisory capacity
Deep understanding of lower middle market and middle market sell-side M&A processes and early-to-growth stage capital raising dynamics, including deal structures and transaction documentation
Proven ability to lead and manage complex, multi-party negotiations on behalf of sellers and issuers
Strong command of due diligence processes, purchase agreement and term sheet mechanics, and closing procedures
Experience working with legal counsel on transaction documentation and deal structuring
Strong executive presence and credibility with founders, CEOs, buyers, investors, and legal counsel
Ability to manage multiple concurrent transactions across both M&A and capital markets mandates
Self-motivated and comfortable operating in a performance-driven environment
Excellent written and verbal communication skills
Must be located in or willing to relocate to Houston, Texas
