Position Summary
Barings LLC ("Barings") is looking for a Paralegal to join its Legal Department in the Corporate Secretary’s Office. This position will be primarily responsible for providing support to various boards, entity management and assisting with corporate governance. The position reports to the Assistant Corporate Secretary. The position is based in Charlotte, NC.

Global Legal Team
The Global Legal Team mission is to serve as a trusted advisor to manage and mitigate legal risk for the company and partner with our clients to support legal needs.

Primary Responsibilities

Coordinate aspects of Board of Directors and Committee meetings, including planning and administration.

Draft and coordinate communications to Board and Board committees via Diligent Board portal, including meeting notices, agendas and materials.

Draft routine resolutions and other Board documents.

Administer, manage, and maintain Diligent board portal, including annual D&O questionnaires.

Organize and maintain electronic and paper corporate governance records, including minute books.

Administer, manage and maintain Barings global entity enterprise using a cloud‑based entity management system, Diligent Entities.

Ensure timely and accurate corporate filings are made, including annual report filings, renewals, and entity formations and dissolutions.

Provide support to the corporate insurance program, including assistance with annual renewals and larger business facilitation.

Implement and facilitate governance practices in line with business growth and market change.

Qualifications

Prior corporate governance, entity management or corporate paralegal experience is a plus.

Exceptional written and verbal communication skills, and ability to interact and build effective relationships with internal and external partners.

High level of personal and professional integrity.

Demonstrated ability to handle confidential and sensitive information with strict confidence.

Strong organizational skills and proven ability to multi‑task and meet tight deadlines while paying attention to details, ensuring a high standard of work.

Ability to anticipate, improvise, and adapt for optimal resolutions.

Ability to work independently and collaboratively as a team member, and use independent and professional judgment with minimal supervision.

Must be willing to comply with the provisions of Baring’s Code of Ethics related to personal securities activities and other disclosure and certification requirements.
