This position advises executives, leadership, board members, and employees on laws, rules, and regulations pertaining to the Credit Union. This includes regulatory compliance, contracts, litigation, insurance and risk management, intellectual property, governance, consumer and commercial lending and deposit transactions and loan documentation, mergers and acquisitions, real estate, and general corporate matters. This position oversees the work of outside counsel and litigation, as appropriate. This position is responsible for ensuring the Credit Union complies with all laws and regulations while still effectively accomplishing its strategic mission.

Duties

General Legal and Advisory

Advise executives, leadership, Board members, and employees on legal and regulatory matters affecting the Credit Union.

Provide legal guidance on Credit Union policies, procedures, programs, and enterprise initiatives.

Draft and review legal policies, disclosures, notices, and terms of use for products and services.

Contracts, Transactions, and Lending

Oversee negotiation and review of contracts and agreements for vendors, fintech partnerships, systems, and corporate initiatives.

Provide legal review of complex commercial lending transactions, including participations, syndications, subordinated arrangements, collateral, UCC matters, and loan‑level disputes.

Regulatory and Examination

Support implementation of federal and state financial services laws and regulations impacting operations.

Support regulatory examinations, including preparation, responses, remediation efforts, and examiner communications.

Litigation, Risk, and Privacy

Manage litigation and coordinate with outside counsel, regulators, and internal stakeholders as needed.

Advise on privacy, data governance, artificial intelligence, cybersecurity, and data‑breach notification obligations.

Provide legal guidance on crisis management and internal and external communications.

Governance and Employment

Draft, review, and maintain governance documents, including Field of Membership, Bylaws, and Articles of Incorporation.

Provide governance support for the Board, executive leadership and risk management.

Oversee trademark strategy and review brand‑related agreements, including influencer and NIL contracts.

Review and advise on employment‑related agreements, including non‑compete and non‑solicit provisions.

Oversee the selection, management, and performance of outside counsel.

Qualifications
Juris Doctorate degree from an American Bar Association accredited law school and an active member of the Idaho Bar Association. 12+ years of legal experience or corporate in‑house work. Substantial knowledge of the financial services industry with understanding of lending, contracts, regulatory compliance, third party risk, examinations and board level governance. Ability to work with external attorneys, executives and/or managers. Ability to always maintain the confidentiality of the Credit Union and member records. Ability to effectively analyze and make decisions and be able to exercise sound judgment and discretion in developing, applying, and interpreting policies, procedures and the law.

Performance Standard
Manage the legal risks of the Credit Union and a well‑organized legal function. Make recommendations to meet the goals and objectives of the Credit Union functions, procedures, and policies. Ensure the credit union operates with the law, manages risk and is able to achieve its strategies and mission. Ability to organize and work under pressure. Professional in appearance, attendance, quality, and quantity of work performed. Must be willing to comply with the Bank Secrecy Act and USA Patriot Act as implemented by Idaho Central Credit Union.

Physical Requirements

Perform tasks requiring manual dexterity (processing paperwork, filing, stapling, sorting, collating, typing, counting cash, etc.).

Sit for extended periods of time.

Lift 20-40 pounds of applicable supplies including but not limited to copy paper, cash drawers, marketing material, etc.

Repetitive motion using wrists, hands, and fingers.

Reach keyboards.

Ability to operate basic office machines (calculator, computer, telephone, copy machine, fax machine, etc.).
