Copyright & Commercial Transactions Associate

Direct Counsel represents a prestigious AmLaw firm seeking a Copyright & Commercial Transactions Associate to join its nationally recognized Copyright Litigation & Counseling practice. This opportunity is ideal for an attorney with at least 4 years of experience handling sophisticated commercial transactions involving intellectual property, technology, digital media, and content licensing matters.
The ideal candidate will have substantial experience drafting and negotiating complex commercial agreements, particularly within technology transactions, intellectual property licensing, or similar transactional practices at a leading law firm. This role focuses on principal-side transactional work for technology, media, music, and content-driven companies and is not primarily centered on M&A or financing transactions.
The practice advises clients ranging from startups to leading global technology and digital media companies on cutting-edge copyright, licensing, digital content, and commercial strategy matters arising at the intersection of technology and intellectual property law.
Responsibilities:
Draft, review, and negotiate sophisticated commercial agreements involving technology, intellectual property, digital content, and licensing matters
Advise clients on copyright, content acquisition, licensing, and digital media transactions
Structure and negotiate strategic partnership agreements and commercial collaborations
Support clients on data acquisition, content distribution, and intellectual property-related transactions
Provide strategic counseling on compliance with copyright and digital media regulations, including matters involving the Digital Millennium Copyright Act (DMCA)
Collaborate with cross-functional legal teams on complex commercial and intellectual property matters
Conduct legal research and analysis related to copyright, licensing, and technology transactions
Communicate effectively with clients, business teams, and internal legal teams regarding transactional and strategic matters
Qualifications:
Juris Doctor (JD) from an accredited law school
Minimum of 4 years of transactional experience at a law firm
Strong experience drafting and negotiating sophisticated commercial agreements
Experience in technology transactions, intellectual property licensing, digital media, or related transactional practices preferred
Experience advising technology, media, entertainment, or content-driven companies strongly preferred
Prior entertainment, music, or media industry experience is a plus, but not required
Excellent drafting, negotiation, analytical, and communication skills
Strong academic credentials required
Licensed and in good standing in the applicable jurisdiction
