Senior Corporate Paralegal

HP is seeking a highly motivated Senior Corporate Paralegal to join our in-house Corporate Legal team, supporting a broad range of Corporate legal matters, including M&A and integrations, securities compliance and corporate governance. The ideal candidate will be a proactive, solutions-oriented partner to the Corporate Legal team and stakeholders across the company, capable of working both independently and collaboratively on complex assignments with a high degree of expert knowledge, skill, and judgment.

Responsibilities

Support M&A transactions, including due diligence, NDAs, closing deliverables, state corporate filings, securities filings, M&A-related regulatory investigations, and billing and budgeting matters

Support M&A integration and separation planning activities, including cross-functional coordination with stakeholders to integrate people, processes, policies, systems, and contracts

Support compliance with M&A and finance covenants

Support SEC filings, including Forms 10-Q, 10-K, 8-K, proxy statements, and related materials

Manage and coordinate NYSE listing standards compliance

Support corporate governance activities, including D&O questionnaire review and data verification requests

Prepare a wide variety of legal filings, reports, and research

Advise on record retention needs and efforts

Develop trainings, playbooks, and team resources

Embrace and adopt AI and other new technologies to drive efficiencies

Coordinate legal and internal stakeholder input

Review and coordinate gathering of information, materials, documents, reports, and evidence necessary to respond to due diligence requests related to public and private equity and debt offerings

Work with other members of the Corporate Legal team as well as other company functional departments on special projects and initiatives

Education And Experience Required

University degree preferred

Relevant paralegal certificate preferred

Notary Public a plus

7+ years experience

Knowledge And Skills

Excellent communication skills, including written communication

Excellent organization, time management, project management, and leadership skills

Strong knowledge of and willingness to learn various state and federal legal requirements

Strong ability to self-motivate and multitask

Excellent document management skills

Strong proficiency with Microsoft Office applications, Adobe, DocuSign, and AI tools

The pay range for this role is $128,000 to $166,000 USD annually, with additional opportunities for pay in the form of bonus and/or equity (applies to United States of America candidates only). Pay varies by work location, job-related knowledge, skills, and experience.
