Corporate Paralegal

to join their team in Atlanta, GA. This role supports a fast-paced M&A group and offers the opportunity to work on complex corporate transactions while building deep expertise in corporate governance and filings. What You'll Do as the Corporate Paralegal

Prepare and file a range of corporate documents, including entity formations, amendments, mergers, conversions, and dissolutions Manage corporate governance records, including minute books, stock ledgers, and ownership documentation Handle state and federal filings such as annual reports, fictitious name registrations, and IRS forms (EINs, S-elections) Support M&A transactions by organizing due diligence materials, maintaining data rooms, and tracking closing deliverables Conduct UCC, lien, litigation, and bankruptcy searches and assist with related filings Coordinate disclosure schedules, closing checklists, and transaction documentation Collaborate with attorneys and internal teams to ensure timely and accurate execution of corporate matters Must-Haves as the Corporate Paralegal

3+ years of corporate paralegal experience in a law firm environment Strong knowledge of corporate governance, filings, and transactional support High attention to detail with the ability to manage multiple priorities and deadlines Solid technical skills with experience reviewing and analyzing legal and transactional documents Clear and professional written and verbal communication skills Nice-to-Haves as the Corporate Paralegal

Experience supporting M&A transactions in a mid-to-large law firm setting Familiarity with data room platforms and due diligence processes Proactive mindset with the ability to anticipate issues and problem-solve independently Our Client Offers
