
In-house Counsel

The In-House Counsel is a corporate role responsible for: providing legal advice to the organization on a variety of topics; collaborating with materials management, finance, legal, and operational leaders to ensure the contract review, approval, and administration processes are effectively managed. The position oversees the administration of third-party leases for the system and oversees all real estate transactions within the system.
Responsibilities
Prepares, reviews, revises and advises on policies and procedures, legal correspondence, contracts and other legal documents, and works as liaison directly with various organizational leaders.
Oversees document control team and administers document control process, to include policies, forms, and standard operating procedures, across the organization.
Reviews, analyzes, and negotiates Baptist Health Care's (BHC) primary supply, services, capital and other contracts to ensure legal, operational, and financial viability, and to mitigate and apportion risk and financial exposure.
Serves as primary liaison between contract owners, affiliate leadership and operational reviewers to ensure accuracy, timeliness and completeness of contract management. Acts as contract mediator, as needed, negotiating successful resolutions to problems and concerns.
Develops, authors, maintains and continually improves in‑house policies and procedures governing procurement, suppliers, payment authorization, contract administration, and other functions based upon or otherwise relating to corporate‑wide contract‑based transactions.
Coordinates annual DNV vendor evaluation and document review processes.
Administers lease process for external leases from lease request, drafting, and signature in coordination with external lease administration vendor and coordinates all purchase/sale transactions of BHC real estate.
Attains all agreed‑to goals and objectives within specified time frames, as part of the organization’s overall mission.
Maintains responsibility for department’s operational excellence; ensures department delivers quality services in accordance with applicable policies, procedures, and professional standards.
Manages team members, which includes orientation, development and evaluation of team members, and monitoring the provision of delivering quality services. Participates in the recruiting, interviewing, and selecting of team members following policies, guidelines and applicable laws. Evaluates team member’s performance relative to job goals and requirements. Provides coaching to staff, recommends education programs, and ensures adherence to internal policies and standards.
Maintains responsibility for the fiscal management of department and assures proper utilization of organization’s financial resources.
Effectively communicates departmental, organization, and industry information to staff.
Qualifications
Juris Doctorate Law Required
5 years Experience in the legal field. Required and
1 year Contract drafting, negotiating, editing, and interpretation experience. Required
3 years Health care law and policy drafting and editing experience. Preferred
Required Skills, Knowledge and Abilities
Working knowledge of laws affecting health care including but not limited to: EMTALA, HIPAA, Stark, Anti‑kickback, fraud and abuse, Medicare/Medicaid, Florida health care laws, contracts, malpractice laws, 501(c)(3) requirements, information technology contracting, billing and collections, research compliance and contracting, health care intellectual property, labor and employment and corporate law.
Excellent written and verbal communication skills, problem solving and presentational skills.
Strong interpersonal skills to interact effectively with individuals of all backgrounds, experience and education levels.
Excellent legal drafting and editing skills.
Ability to handle high volume, high priority tasks simultaneously.
