Senior Legal Counsel

Our client is an established alternative asset management firm based out of South Florida. The Senior Legal Counsel of that division, the attorney or legal counsel would contribute to and/or be responsible for the following areas, and will have proximity to the leadership team:
Responsibilities
- Manage the drafting and reviewing of SEC filings, such as 10-Ks, 10-Qs, 8-Ks, proxy statements and other regulatory filings.
- Assist with implementation and day-to-day matters pertaining to the Investment Company Act and Investment Advisers Act compliance for semi-liquid/evergreen novel 40 Act vehicles and registered investment advisers.
- Support IR and marketing functions and LPs day-to-day communications.
- Support the investment committee and deal teams with investments in portfolio companies and support the legal group with Board materials.
- Review, draft, and negotiate service agreements, real estate leases and other contracts.
- Assist with strategic investments and M&A.
- Assist with day-to-day adhoc request and projects, including real estate, commercial and other commercial contracts.
Qualifications
- JD and an outstanding record of achievement from a top-tier law school or a top Floridian Law School
- 5+ YOE at a Capital Markets/Cor group in BigLaw and/or at an alternative asset management firm
- Experience in Debt Finance, M&A or Capital Market could also be suitable.
- Strong analytical and risk assessment skills
- Sense of urgency; ability to meet deadlines and communicate confidently with senior management and members of the Investment team
- Strong communication, confidence, and ability to talk with external and internal stakeholders who are not legal professionals
- Adaptability and willingness to grow, learn, and an insatiable sense of intellectual curiosity
