Are you a detail-oriented legal professional who thrives on the momentum of a closing deal? A client of ours located in Louisville, KY is looking for a Corporate Paralegal to join their team as a key player in their transactional practice. This isn\'t just about filing papers; you will be the "engine room" for their corporate entity management and M\&A activity.
You\'ll work alongside a collaborative team of attorneys to build, qualify, and maintain corporate structures while playing a direct role in high‑stakes mergers, acquisitions, and financings. This is a full‑time permanent opportunity offering a competitive salary and benefits package.
Compensation: Salary $65,000 - $75,000 per year. Shift: First. Work hours: 8 AM - 5 PM. Education: Bachelor's.
Responsibilities
Lead the drafting and filing of foundational documents, including Articles of Incorporation, Bylaws, and Operating Agreements.
Manage foreign qualifications and ensure our entities are in good standing across multiple jurisdictions.
Perform and analyze deep‑Dive searches of state and federal databases for liens, UCC filings, and litigation history.
Act as a central point of contact for Mergers & Acquisitions and financing transactions—managing signature packets, closing checklists, and post‑closing integration.
Maintain minute books, issue stock certificates, and ensure all corporate records are audit‑ready.
