
Corporate Paralegal

A top mid sized law firm is currently looking for an experienced paralegal to support the attorneys in the Corporate practice group, with a particular focus on the Emerging Company/Venture Capital practice.
This role requires strong organizational skills, attention to detail, efficiency, and the ability to manage shifting priorities in a fast-paced environment. The Corporate Paralegal reports to the Paralegal Manager and works under the supervision of attorneys.
Primary Duties and Responsibilities
Data room maintenance: maintain standard folder structure; update files promptly in connection with deals and on a day-to-day basis
Cap table maintenance: maintain cap table on Carta; update Carta for transactions; answer client questions regarding records; provide reports
Entity formation: prepare incorporation documents based on industry standard forms (e.g. Certificate of Incorporation, Bylaws, Action of Incorporator, Stock Purchase Agreements, IP Assignment Agreements)
Deal support: basic diligence production and responses
Deal closing mechanics: create signature pages, update schedules in purchase agreements (particularly NVCA documents and token warrants), confirm wire receipts in conjunction with the company, prepare closing volumes
Securities law filings: State blue sky filings; Form D filings
Public company filings: Section 13 and Section 16 filings
Corporate state filings: Pull and file corporate state files; interact with service company providers in connection with state filings
Corporate audit: review corporate records to ensure compliance; identify basic issues
Other Duties and Responsibilities
Drafting and document review: draft and/or review corporate consents, audit response letters and other similar documents
Due diligence: assist with transactional due diligence
Record maintenance: facilitate creation of permanent records, pull and organize records to support client needs
Knowledge management: support attorneys in maintenance of knowledge management files
Team support: provide backup support to paralegals serving in other transactional practice areas
Education and Experience
Paralegal certificate or bachelor’s degree
3+ years of experience in a law firm or other professional services organization
Experience with incorporations of Delaware C-Corps, SAFE financings, equity financings, equity compensation, and M&A transactions
Excellent written and verbal communication skills, including the ability to effectively communicate with internal and external stakeholders
Must have the ability to manage shifting priorities under tight deadlines
Flexibility and ability to learn new skills, modify work styles and approaches to meet shifting client demands, market needs and technological changes
Demonstrated accuracy, attention to detail, and organizational skills
