
Corporate Paralegal

A growing, prestigious mid-size commercial law firm based in New York City (Midtown), is seeking a Corporate Paralegal to support attorneys within a transactional corporate practice, with an emphasis on emerging companies and venture capital matters. This role supports a high volume of corporate and securities work and requires the ability to manage multiple priorities in a deadline?driven environment. The Corporate Paralegal works closely with attorneys and paralegal leadership to support entity formation, financings, and ongoing corporate compliance. The position is full?time and follows a hybrid work model.
Responsibilities
Maintain and organize client data rooms, including standard folder structures and ongoing deal updates
Prepare and maintain capitalization tables, including transaction updates and client reporting
Support entity formation and corporate governance matters using standard documentation
Assist with transaction diligence, deal support, and closing mechanics, including signature pages and closing volumes
Prepare and file required securities and corporate filings, including state and federal submissions
Maintain corporate records, assist with audits and compliance reviews, and support knowledge management initiatives
Requirements/Qualifications
Paralegal certificate or bachelor’s degree
Minimum of three years of experience in a law firm or professional services environment
Experience with Delaware corporate formations, venture financings, equity compensation, and M&A transactions
Familiarity with securities filings and public company reporting requirements
Strong written and verbal communication skills, organizational skills, and attention to detail
Compensation: $100,000-115,000
Salary is based on a range of factors that include relevant experience, knowledge, skills, other job-related qualifications.
