
Senior Counsel - Corporate, Transactions and Governance

* Maintain corporate records and manage/assist in the creation of summary documentation to ensure up-to-date information is available to the relevant stakeholders.**Treasury, Accounting and Finance*** Draft various finance & intercompany-related documentation, including term sheets, guarantees, indemnities, letters of credit, and letters of support.* Support the Treasury team on capital markets and debt-related matters, including negotiating and preparing indentures, notes, loan agreements, collateral agreements and other documentation.* Provide legal support to the Finance and Treasury teams on policies and practices, as needed.**Mergers, Acquisitions and Divestitures*** Provide legal support on transactions, including drafting and reviewing NDAs, letters of intent, and transaction documentation, conducting due diligence and supporting pre- and post-closing activities.* Assist with special projects as assigned.**QUALIFICATIONS*** Solid foundation in core corporate legal functions, including tax, corporate governance, securities and treasury, with the ability to support a broad range of corporate matters from day one.* Experience handling corporate structure, governance, securities, and entity management work, and providing legal support to finance‐related functions.* M&A experience is a plus but not required if the candidate demonstrates strong capability across the other corporate areas described above.* Exposure to international or cross‐border legal concepts is a strong plus.* At least 3 to 5 years of relevant legal experience required, with prior law firm experience preferred. Both candidates transitioning from a law firm into their first in‐house role or moving from another in‐house position will be considered.Oil and gas industry experience is preferred but not required.Strong attention to detail, sound judgment, and the ability to manage multiple priorities effectively, with appropriate judgment on when to seek guidance.Demonstrated ability to operate effectively in a team-oriented environment, with a pragmatic and collaborative approach.Excellent communication skills, including the ability to explain complex legal concepts clearly to non-legal stakeholders.
