
Attorney Senior

As a Senior Attorney in Houston, Texas, you report to the General Counsel of ENGIE Energy Marketing NA, Inc., and will provide legal support to the U.S. wholesale entity of ENGIE's Supply and Energy Management (SEM) business platform. SEM delivers energy supply solutions and risk management services to support clients through their decarbonization journey while optimizing ENGIE's assets and contributing to value creation.
This position is part of the SEM LEGAL & ETHICS community, a team of approximately 120 lawyers supporting the activities of SEM worldwide. Team members act as key players on project and negotiation teams to support SEM’s business origination and manage legal and regulatory risks in compliance with applicable laws across the full range of SEM activities.
Responsibilities
Develop and execute comprehensive legal strategies and solutions to lawfully facilitate SEM’s commercial objectives while mitigating associated legal and other risks.
Draft, review and negotiate:
Master Agreements (NAESB, ISDA and REC agreements, together with relevant annexes) for various commodities and related derivatives (power, gas, emissions).
Long‑term renewable power purchase agreements.
Secured energy supply and credit facilities for retail electric providers.
Other energy contracts such as energy management agreements, hedging contracts, responsibly sourced gas agreements, gas storage and transportation contracts, intra‑group contracts, brokerage contracts.
Pre‑transactional documents, such as confidentiality agreements, letters of intent and term sheets.
Credit management documentation (credit support annexes, letters of credit and guaranties).
Ancillary agreements related to SEM’s team scope (IT vendor contracts, service level agreements).
Assist in structuring complex hedge and other commodity transactions.
Partner with SEM’s compliance professionals to ensure maintenance of the highest commitment to regulatory compliance and satisfactory resolution of any related inquiries.
Act as a subject‑matter expert on legal and regulatory developments of commodities, and provide training on topical issues to SEM colleagues.
Provide legal support in relation to event‑driven issues such as events of default, covenant breaches, claims of force majeure, acceleration.
What You’ll Bring
You completed a Juris Doctor (JD) from an ABA accredited law school.
Must be licensed to practice law in one of the fifty (50) United States.
Minimum five years of law firm and/or in‑house experience in positions relevant to wholesale U.S. power and gas markets.
Sound business acumen.
Expertise in structured finance and secured hedge transactions.
Ability to achieve commercial objectives while identifying and mitigating legal and other risks.
Entrepreneurial mindset in pursuit of new, innovative transaction structures.
Proven organizational and project‑management skills, attention to detail, and ability to work in a fast‑paced and dynamic environment.
Role is eligible for a hybrid work policy, requiring a minimum of three days in the office.
Must be willing and able to comply with all ENGIE ethics and safety policies.
Compensation
Salary Range: $176,900.00 – $271,170.00 USD annually. This represents the average expected pay range for a qualified candidate. ENGIE complies with all federal, state, and local minimum wage laws. Actual salary offered may vary depending on geography, experience, education, internal pay alignment, or other bona fide factors.
In addition to base pay, this position is eligible for a competitive bonus / incentive plan.
