Job Summary:

The Commercial Terms and Conditions Manager will lead the negotiation and resolution of supplier and subcontractor terms and conditions for complex EPC projects within the semiconductor, pharmaceutical, and data center EPC space. This role operates in a high-energy, fast-paced environment, requiring agility, strong negotiation expertise, familiarity with common legal exceptions, and the ability to manage competing priorities while safeguarding the company’s commercial interests.
This position is designated as part-time telework per our global telework policy and will require at least three days of in-person attendance per week at the assigned office or project. Weekly in-person schedules will be determined by the individual and their supervisor, in consultation with functional or project leadership.
Major Responsibilities:

Develop and maintain a Prime Contract Flowdown Matrix to ensure accurate and consistent application of company and client commercial terms across all downstream contracts
Draft, align, and improve conformed terms and conditions for subcontracts, equipment, bulk materials, and other procurement packages in a multi-project setting.
Lead or supervise negotiations with project supply chain personnel and the supplier/subcontractor community, serving as a supply chain subject matter representative across projects
Evaluate and resolve contractual exceptions in collaboration with legal teams, balancing risk mitigation with practical project execution needs
Build and manage a centralized commercial exceptions database, capturing project-specific deviations and agreed resolutions to inform future strategies and solutions
Drive commercial awareness and risk visibility across project teams in a fast-moving delivery environment
Act as a trusted advisor to project leadership on contractual risk, entitlement, and commercial positioning
Mentor and coach team members on negotiation tactics, contract interpretation, and commercial best practices
Education and Experience Requirements:

Bachelor’s or Master’s degree and 12–14 years of experience in commercial management and contract negotiation within a project-based EPC space.
Proven track record supporting semiconductor, pharmaceutical, data center, or other types of mega-projects
Deep expertise in negotiating subcontracts, equipment agreements, and complex commercial terms and conditions
Strong working knowledge of legal terminology and contract frameworks; formal legal training is a plus
Demonstrated ability to perform under pressure and manage multiple priorities in a fast-paced, deadline-driven environment
Excellent stakeholder management, communication, and leadership skills
